These terms are an agreement between you and Viromi Corp ("RiverBooks", "we") for the use of RiverBooks at riverbooks.ai and app.riverbooks.ai (the "Service"). By creating an account you accept them for yourself and for the business you set up.

1. The Service

RiverBooks helps sole proprietors and single-member LLCs schedule work, invoice, accept payments, keep books, and prepare tax figures. It is software, not a bank, payment processor, accountant, tax preparer or lawyer. Tax figures, estimates and prepared returns are based on the information in your books and on published rules; you are responsible for reviewing them and for what you file and pay. Consider a tax professional for your situation.

2. Your account

Keep your sign-in secure and tell us promptly about unauthorized use. You're responsible for activity under your account, for the people you invite into your business, and for making sure the information you enter is accurate and that you're allowed to enter it (for example, your customers' contact details).

3. Approvals

The Service, including River, the AI assistant, makes suggestions. The assistant doesn't pay, file, send anything to your customers or record anything in your books unless you or a member of your business approves it. AI output can be wrong; check it before you rely on it.

4. Third-party services

Payments run through Stripe, bank connections through Plaid, text messages through Telnyx, and optional connections to Google Calendar and QuickBooks Online through those companies. Your use of them is also governed by their terms. We aren't responsible for their services, and card and bank payments are between you, your customers and Stripe.

5. Fees

Accounts start with a free trial. If you subscribe, you authorize us (through Stripe) to charge the plan's fees until you cancel. You can cancel any time, effective at the end of the paid period. If a payment fails and isn't fixed within the grace period, your books become read-only until it is; they are not deleted.

6. Your data

Your business's records belong to you. We use them only to provide and improve the Service as described in our Privacy Policy and Data Processing Addendum. You can export your data at any time. If you close your account we delete your business's data as described in the Privacy Policy.

7. Acceptable use

Don't use the Service for anything unlawful, to send messages people didn't agree to receive, to take payments for businesses Stripe prohibits, or to probe, overload or break the Service. We may suspend accounts that do.

8. Availability and changes

We work to keep the Service available and your data safe, but we don't promise it will be uninterrupted or error-free. We may change the Service; we'll give notice of changes that materially reduce what you've paid for.

9. Disclaimers and limits

To the extent the law allows, the Service is provided "as is", and our total liability for any claim is limited to the fees you paid us in the 12 months before it arose. We aren't liable for indirect or consequential losses, including tax penalties or interest arising from figures you didn't review.

10. Ending

You can stop using the Service at any time. We may end these terms with notice, or immediately for serious breaches; you'll have 30 days to export your data unless the law prevents it.

11. Law

These terms are governed by the laws of the State of Washington, and disputes go to the state or federal courts in King County, Washington.
